Tractor Supply Company (Brentwood, TN) is adding 81 stores to its fleet after receiving clearance from the Federal Trade Commission to close on a previously announced acquisition of Orscheln Farm and Home (Moberly, Mo.).
Tractor Supply paid $320 million for Orscheln, which consisted of 166 stores in 11 midwestern states. By the terms of the remedy reached with the FTC, Tractor Supply acquired 81 of those stores and divested the remaining 85 locations to two buyers – Bomgaars Supply Inc. (73 stores) and Buchheit Enterprise Inc. (12 stores).

In addition, Tractor Supply has agreed to sell the Orscheln Farm and Home corporate headquarters and distribution center to Bomgaars for approximately $10 million within the next 15 months.
The net purchase price of the 81 stores acquired and retained is approximately $238 million before working capital adjustments.
Over the next 15 months, the stores retained by Tractor Supply will be remodeled to the Tractor Supply brand.
Tractor Supply’s store count now exceeds 2100 locations across 49 states. The company expects the revenue from the acquisition to add at least $300 million to net sales, with total revenues expected to top $14 billion annually.
